These Terms of Service (“Terms”, “Terms of Service”) govern your use of our website located at https://earlytap.com and operated by Lifehack Labs LLC (“Company”, “we”, “our”, “us”).

Our Privacy Policy also governs your use of the Service and explains how we collect, safeguard and disclose information that results from your use of our web pages.

Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge that you have read and understood the Agreements and agree to be bound by them.

By creating an Account on our Service, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. The Service may offer products, services, features, or upgrades for purchase, including but not limited to one-time purchases, recurring subscriptions (billed monthly or annually), usage-based credits, or access to free tiers or trial periods (collectively, “Purchase”). If you wish to make any Purchase, you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information. You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.

We may employ the use of third party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons.

We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

Some products shown, suggested, or recommended on our website may be sold, fulfilled, or delivered by a third-party retailers and providers.
We take no responsibility and assume no liability for these products.

5. Contests, Sweepstakes and Promotions

Any contests, sweepstakes or other promotions (collectively, “Promotions”) made available through our Service may be governed by rules that are separate from these Terms of Service. 6. Refunds

Fees paid to Earlytap directly, such as for account upgrades, one-time purchases, subscriptions, or credits, are non-refundable unless specified otherwise on our website, at the point of purchase, or unless required by law. The terms of any free trials or promotional offers will be specified at the time of the offer.

Some products shown, suggested, or recommended on our website are sold through third-party retailers and providers, and these retailers define their own refund policy and are responsible for any such refunds.

7. Content

Some or all content, data, information, documents, files, pages, analysis, insights, predictions, recommendations, suggestions, interactions, responses, reports, summaries, links, facts, figures, visualizations, statistics, metrics, images, illustrations, videos, audio, media formats, downloads, code, models, and other materials or outputs provided through our Service (including our website, emails, notifications, communications, or any other channels through which we deliver content) are generated, extracted, processed, or augmented by Artificial Intelligence (“AI”) models (“AI Content”). By using this Service or accessing any AI Content, you expressly acknowledge, understand, and irrevocably agree that: (i) AI Content may contain errors, omissions, inaccuracies, or outdated information and is not guaranteed to be reliable, accurate, complete, current, or truthful, (ii) all AI Content is provided strictly “as is” and “as available” without warranties of any kind, express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, except where such disclaimers are prohibited by applicable law, (iii) we do not warrant that AI Content is free of third-party intellectual-property rights or claims and you are responsible for obtaining any necessary permissions before using it commercially, (iv) AI Content does not constitute legal, medical, psychological, financial, business, personal, or any other professional or personal advice, and you should consult an appropriately qualified professional before relying on it, (v) you are solely responsible for independently verifying all AI Content and for any decisions or actions you take based on it, (vi) any decisions, actions, or omissions you make based on AI Content are entirely at your own risk, (vii) to the maximum extent permitted by applicable law we shall not be liable under any circumstances or legal theory for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, losses, costs, or expenses arising from or relating to your access to, use of, or reliance upon AI Content, except for liability that cannot be excluded under applicable law, including liability for death, personal injury, willful misconduct, or gross negligence, and (viii) no advice, information, or statement made by us, our team, partners, or agents shall create any warranty not expressly stated herein or modify this disclaimer in any way.

Our Service may allow you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material (“User Input Content”). You are responsible for User Input Content that you post on or through the Service, including its legality, reliability, and appropriateness.

By posting User Input Content on or through the Service, You represent and warrant that: (i) User Input Content is yours (you own it) and/or you have the right to use it and the right to grant us the rights and license as provided in these Terms, and (ii) that the posting of your User Input Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity. We reserve the right to terminate the account of anyone found to be infringing on a copyright.

We take no responsibility and assume no liability for User Input Content you or any third-party posts on or through the Service. However, by posting User Input Content using the Service you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, distribute, and otherwise process such User Input Content on and through the Service. This license includes the right for us to make your User Input Content available to other users of the Service, who may also use your User Input Content subject to these Terms. Furthermore, you grant us a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to use, copy, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Input Content (in whole or part) and/or to incorporate it in other works in any form, media, or technology now known or later developed, including for the purposes of operating, providing, improving, and developing our Service and our AI models. You agree that this license allows us to use your User Input Content for training, fine-tuning, and enhancing our AI algorithms and models. If you do not wish for your User Input Content to be used in this manner, you should not use the Service.

The Service may generate AI Content based on your User Input Content. Unless otherwise explicitly agreed to in writing by the Company, the Company retains all rights, title, and interest in and to any AI Content generated by the Service. You are granted a limited, non-exclusive, non-transferable, non-sublicensable license to use the AI Content generated for you through the Service for your internal personal or business purposes, subject to these Terms. You may not distribute, sell, lease, or otherwise make available AI Content to third parties without the express prior written consent of the Company.

Earlytap has the right but not the obligation to monitor and edit all Content (including User Input Content and AI Content) provided by users or generated by the Service.

10. No Use By Minors

When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service. You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.

The Service and its original content (excluding User Input Content provided by users, but including AI Content generated by the Service unless otherwise specified), features and functionality are and will remain the exclusive property of Lifehack Labs LLC and its licensors.

Our name may not be used in connection with any product or service without the prior written consent of Lifehack Labs LLC.

13. Copyright Policy

We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on the Service infringes on the copyright or other intellectual property rights (“Infringement”) of any person or entity.

We have adopted and implemented a policy, in appropriate circumstances, of terminating users who are deemed to be repeat infringers.

If you are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement, please submit your claim via email to copyright@lifehacklabs.org and include a detailed description of the alleged infringement. You may provide us either directly at legal@lifehacklabs.org or via third party sites and tools with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our Service (“Feedback”). You acknowledge and agree that: (i) you shall not retain, acquire or assert any intellectual property right or other right, title or interest in or to the Feedback; (ii) Company may have development ideas similar to the Feedback; (iii) Feedback does not contain confidential information or proprietary information from you or any third party; and (iv) Company is not under any obligation of confidentiality with respect to the Feedback. In the event the transfer of the ownership to the Feedback is not possible due to applicable mandatory laws, you grant Company and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited and perpetual right to use (including copy, modify, create derivative works, publish, distribute and commercialize) Feedback in any manner and for any purpose.

20. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict-of-law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

Exclusive Venue: All claims arising out of or relating to these Terms or the Service must be brought exclusively in the state or federal courts located in Travis County, Texas. You irrevocably submit to the personal jurisdiction of those courts and waive any objection to venue or inconvenient forum. Lifehack Labs LLC may also bring suit in any jurisdiction where you reside or conduct business to enforce its rights.

WAIVER OF JURY TRIAL: YOU AND LIFEHACK LABS LLC IRREVOCABLY WAIVE THE RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE, OR THE ENFORCEMENT OF ANY ARBITRATION AWARD. ALL SUCH MATTERS SHALL BE RESOLVED BY A JUDGE.

21. Changes To The Service

We reserve the right to withdraw or amend our Service, and any service or material we provide, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Service, or the entire Service, to users, including registered users.

We may amend Terms at any time by posting the amended terms on this site. It is your responsibility to review these Terms periodically.

Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.

If any provision of Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of Terms will continue in full force and effect.
